Terms of Business
For the Introduction of Work-Seekers (Performers/Actors)

1. Introduction

These Terms of Business are issued in accordance with the Conduct of Employment Agencies and Employment Businesses Regulations 2003 and govern the provision of introduction services by Arrowsmith Pacey (“the Agency”) to any client or hirer (“the Client”) to whom the Agency introduces work-seekers.

2. Definitions

Client means any person, company, production company, casting director, or other entity to whom the Agency introduces work-seekers, whether or not a prior instruction to introduce has been given.

3. Status of the Agency

  • The Agency operates as an employment agency, not an employment business.
  • The Agency does not employ the work-seeker. All contracts for services or employment are entered into directly between the Client and the work-seeker.

4. Services Provided

  • The Agency introduces professional performers (including but not limited to actors, voice-over artists, and presenters) for potential engagement by the Client.
  • The Agency may assist in the negotiation of terms between the Client and the work-seeker but is not a party to the resulting contract.

5. Client Obligations

The Client agrees to:

  • Provide accurate and complete information about the role, including the nature of the work, pay, location, hours, required qualifications or experience, and any legal requirements.
  • Confirm it has the legal right to engage the work-seeker.
  • Enter into a direct contractual relationship with the work-seeker as appropriate.

6. Fees

  • No fees are charged to the Client by the Agency for introductions, unless otherwise agreed in writing.
  • The Agency may receive commission or fees from the work-seeker as part of separate representation arrangements.

7. Introductions

  • An introduction occurs when the Agency provides the Client with information identifying a work-seeker, whether in writing, electronically, or verbally.
  • An engagement resulting from such an introduction will be deemed acceptance of these Terms.
  • If the Client introduces the work-seeker to a third party and that party engages the work-seeker, the Client may still be liable for applicable fees (if any are agreed in writing).

8. Confidentiality

All information supplied by the Agency regarding a work-seeker is confidential and must not be disclosed to any third party without prior written consent. Confidentiality obligations survive termination of these Terms.

9. Liability

The Agency will use reasonable efforts to ensure the suitability of work-seekers introduced. However, the Client is responsible for making its own assessment and must carry out all necessary checks, including right-to-work verification and compliance with relevant legislation.

10. Data Protection

The Agency processes personal data in accordance with UK GDPR and the Data Protection Act 2018. The Client agrees to handle any personal data received from the Agency lawfully and securely and comply with all applicable data protection legislation.

11. General

  • These Terms shall be deemed accepted by the Client upon the engagement of a work-seeker following an introduction by the Agency, unless the Client notifies the Agency in writing prior to such engagement.
  • These Terms constitute the entire agreement between the Agency and the Client and supersede any prior agreements or understandings.
  • No variation of these Terms shall be effective unless in writing and signed by both parties.
  • If any provision of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.
  • These Terms shall be governed by and construed in accordance with English law.
